CounterEcho Terms of Service

1. The Service

CounterEcho provides a QR-based customer feedback platform: businesses display a QR code; customers scan it to submit feedback; the business receives the feedback, can review draft responses and coaching, and can route happy customers to its own review-platform pages.

2. Accounts & tenants

  • You must be at least 18 and authorized to bind the business you register.
  • One business = one "tenant" account. You are responsible for your tenant's activity, including staff you invite and the credentials of users you add.
  • You must keep your login credentials confidential and notify us promptly of any suspected unauthorized access.

3. Acceptable use — what we will not tolerate

This product exists to capture genuine feedback in compliance with the review platforms' rules and the FTC guidelines. You agree NOT to:

  • Buy, sell, incentivize, or manufacture reviews or ratings, or pressure customers to leave positive reviews;
  • Post or solicit fake, misleading, or AI-generated reviews posing as real customers;
  • Use the Service to harass, defame, or discriminate;
  • Attempt to access another tenant's data, forge QR tokens, or defeat the Service's security or rate limits;
  • Scrape, bulk-harvest, or resell customer feedback data;
  • Upload or transmit illegal content or malware.

Violation is grounds for immediate suspension or termination.

4. Customer feedback data

  • Feedback you receive through the Service is provided by your customers. You are the controller of that data for your business purposes; the Service acts as a processor on your behalf.
  • You are responsible for having a lawful basis to collect and use that data — including any consent obligations (e.g. TCPA for phone numbers, GDPR for EU/UK/EEA reviewers).
  • You may not use feedback data for purposes the reviewer did not agree to.

5. SMS

  • SMS features are available only for numbers that have opted in, and only after our Twilio A2P 10DLC brand/campaign registration is approved by Twilio.
  • Opt-out: recipients may reply STOP to stop messages. We will honor opt-out requests.
  • Message frequency and standard message & data rates may apply (as disclosed at the point of consent).

6. Payments & billing

  • Paid plans are billed through Stripe on a recurring basis. Plans, prices, and features are as displayed on our pricing page at the time of purchase and may change with notice.
  • Payments are due at the start of each billing period. If a payment fails, your subscription status will downgrade and features may be limited until the payment is resolved.
  • Refunds: see the Refund & Cancellation Policy. Taxes are added where applicable.
  • You are responsible for keeping your payment method current.

7. No guaranteed outcomes

We do not guarantee any number of reviews, any rating, any review platform result, or any business outcome. The Service captures and routes genuine feedback; reviews, ratings, and rankings are controlled by your customers and the review platforms. We also do not guarantee that your business will achieve or maintain compliance with any law or review platform policy — compliance is your responsibility.

8. Intellectual property

  • The Service, including its software, design, and branding, is owned by BeyondX LLC.
  • You retain all rights to your business content and your customer feedback data. You grant us a limited license to process it to provide the Service.

9. Limitation of liability

To the maximum extent permitted by law: the Service is provided "as is" without warranties; our aggregate liability is limited to the fees you paid in the 12 months preceding the claim; we are not liable for indirect, incidental, or consequential damages (including lost revenue or lost reputation). Nothing excludes liability that cannot be excluded by law.

10. Indemnity

You will indemnify us against claims arising from your use of the Service in violation of these Terms, including any review-manipulation or consent violations.

11. Termination

  • You may cancel your subscription at any time (effective end of the current billing period).
  • We may suspend or terminate access for violation of these Terms or for non-payment, with notice where practicable.
  • On termination, your data will be handled per the Data Retention Policy.

12. Governing law & disputes

These Terms are governed by the laws of the State of Washington, USA. Disputes will be resolved in the state and federal courts located in Thurston County, Washington, except where prohibited by law.

13. Beta

The Service may be in beta; features may change or be removed without notice. Beta users should not rely on the Service for business-critical operations.

14. Changes

We may update these Terms; Business Users will be notified by email of material changes. Continued use after changes constitutes acceptance.
